The Senior Vice President†General Counsel & Secretary is responsible for leading corporate strategic and tactical legal initiatives. The! General Counsel plans and directs all aspects of an organization's legal affairs and ensures maximum protection of its legal rights, will provide senior management with effective advice on company strategies and their implementation, and oversee a broad range of business critical transactional matters such as contracts, real estate matters, vendor agreements, overseeing corporate governance work for subsidiaries, mergers and acquisitions, joint ventures, and international relationships and transactions. KEY AREAS OF RESPONSIBILITY:
Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.
Leads the defense of the organization in lawsuits and the prosecution of lawsuits on behalf of the organization against others.
Provides legal expertise to other departments where needed.
Manages commercial and general liability litigati! on.
Responsible for the management and oversight of the li! tigation and legal employment staff which includes attorneys, paralegals and legal assistants.
Maintains a deep knowledge of the supported businesses and the relevant legal issues, and provides legal advice and decision support to help achieve business objectives while mitigating legal risks and ensuring compliance with the companies ethics and values.
Serve as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
Responsible for compliance with securities laws, assuring timely and accurate filings with the SEC and negotiating complex financial, (including bank financing, public and private bond financing and equity financing).
Judge the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted.
Assume ultimate responsibility for ensuring that AutoZone conduct! s its business in compliance with all applicable laws and regulations.
Structure and manage the company†s internal legal function and staff.
Selection, retention, management and evaluation of all outside counsel.
Advise on legal aspects of the company†s financing, including assessing and advising on current and future business structures and legal entities.
