Please apply for this position at: www.erlanger.orgJob Summary: The Chief Legal Officer (CLO) has responsibility for all legal services for Erlanger and related entities.
CLO provides legal opinions, prepares contracts and other legal documents and provides legal guidance to executive management and the Board of Trustees. CLO is responsible for retaining and overseeing outside legal counsel when necessary. The CLO reports jointly to the President/CEO and the Board of Trustees of the Chattanooga-Hamilton County Hospital Authority (the Authority). In accordance with the Tennessee Rules of Professional Conduct, the CLO represents the Authority, acting through its authorized constituents.
The CLO is responsible for advising executive management and the Board of Trustees whether proposed actions are in compliance with applicable laws, regulations and court decisions. If any member of ma! nagement insists on taking action which the CLO reasonably bel! ieves will result in a violation of law that might be imputed to the Authority, the CLO shall proceed as reasonably necessary in the best interest of the Authority, including, where applicable, reporting such action to the President/CEO and the Board of Trustees. Outside attorneys shall communicate directly with the CLO and the CLO is responsible for approving all invoices for legal services. The CLO requires that outside counsel report to him any actions or proposed actions which such counsel believes will result in a violation of law.
The CLO is responsible for overseeing the Legal Department, and works closely with the Compliance Department in ensuring compliance with applicable laws and regulations. The CLO makes regular reports to the Board of Trustees on legal matters when requested. The CLO works with the Chief Financial Officer and the Director of Risk Management in overseeing the Self-Insurance Trust and all claims.
