Summary:
This position will report to the company’s VP & Deputy General Counsel and will be the lead lawyer in providing ongoing legal support to the company’s very robust acquisition program. The successful candidate should have extensive experience in structuring, drafting, and negotiating sophisticated transactions and will also have significant experience in negotiating general corporate/commercial contracts. The ideal candidate will be highly organized and able to fit within a nimble and fast-paced acquisition culture.

Essential Job Functions:

  • Work as part of a t! eam with a strong entrepreneurial spirit on every phase of sophisticated transactions, from due diligence and structuring to drafting and negotiating transaction documents. Responsible for identifying and analyzing legal and business issues, articulating risks and benefits, and presenting clear recommendations to help guide key stakeholders to the best decisions for the company.
  • Provide secondary support to procurement team, including review, negotiation and drafting of purchase agreements, services agreements, licensing agreements, and other agreements connected to core business.
  • Develop strong working relationships and trust with key members of functional groups and business units.
  • Retain, where necessary, and works professionally and productively with outside counsel to maximize the value of counsel’s input and minimize the amount counsel charges; develops budget for projects and manages outside counsel to such budget.
  • Assist in dire! cting the work of non-attorney staff.
  • Work under general direction and keeps supervisor informed as projects proceed.
  • Recommend changes to the company’s processes, policies or practices designed to improve the quality or timeliness of the company’s M&A and contracting programs.
  • Develop appropriate training materials and conduct training sessions for client groups on topics of interest.
  • Occasional travel.
  • Other job duties as assigned by the VP and Deputy General Counsel of ServiceMaster.
Knowledge/Special Skills:
Seasoned business judgment with superior decision-making and problem-solving skills and strong strategic thinking. Excellent writing and communication/presentation skills. Ability to multi-task and prioritize projects with excellent time management. Strong organizational and interpersonal skills. Strict compliance with issues of confidentiality, a superior sense of personal integrity, and an ener! gizer of a corporate culture of integrity. Ability to be a strong colla! borator & team player and avoidance of politics.

Education/Experience:
Seeking candidate with at least six years of experience as an attorney, with at least four years of extensive experience leading complex strategic transactions, including acquisitions, divestiture, joint ventures, and other transactions, as well as significant experience in drafting and negotiating a variety of commercial contracts.
Broad corporate experience, strongly preferred. Combination of in-house experience and experience in a well-known law firm also preferred. Six Sigma experience a plus.

Minimum: Law Degree from an A.B.A. accredited law school; licensed to practice law in at least one jurisdiction and eligible for admission to TN bar; at least six years of experience as an attorney.
