Senior Vice President General Counsel and Secretary Duties: Participate in the definition and development of corporate polici! es, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters. Leads the defense of the organization in lawsuits and the prosecution of lawsuits on behalf of the organization against others. Provides legal expertise to other departments where needed. Manages commercial and general liability litigation. Responsible for the management and oversight of the litigation and legal employment staff which includes attorneys, paralegals and legal assistants. Maintains a deep knowledge of the supported businesses and the relevant legal issues, and provides legal advice and decision support to help achieve business objectives while mitigating legal risks and ensuring compliance with the companies ethics and values. Serve as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Responsible for compliance with securities laws, assuring timely and accurate fi! lings with the SEC and negotiating complex financial, (includi! ng bank financing, public and private bond financing and equity financing). Judge the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. Assume ultimate responsibility for ensuring that company conducts its business in compliance with all applicable laws and regulations. Structure and manage the company s internal legal function and staff. Selection, retention, management and evaluation of all outside counsel. Advise on legal aspects of the company s financing, including assessing and advising on current and future business structures and legal entities.

Requirements: 10+ years of experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in-house position. Exposure to and/or familiarity with the following areas of law: securities, antitrust, computer law and privacy;! Experience working on matters of corporate governance and with a board of directors is required. Experience managing other attorneys and supervising support staff in a corporation is required as well as experience with cost effective management of outside legal resources. Familiarity and understanding of Sarbanes-Oxley, FCPA, securities and other key legislation critical.
