Position Summary

This position supports the Terminix business unit. The assigned attorney will use best efforts to ensure that Terminix business practices, policies, and behaviors satisfy all ServiceMaster and Terminix requirements. He or she will ensure that the practice of law in conjunction with the requirements of this position is designed to protect ServiceMaster and Terminix from legal action, and also will effectively and efficiently manage legal issues as they arise. The assigned attorney will attain and maintain in-depth knowledge of the Terminix business unit structure, business practices, and strategy. He or she will understand and be prepared to interpret and apply the wide variety of legal requirements that apply to Terminix, including, but not limited to, pesticide laws and regulations, licensing laws and regulations, contract law (with an emphasis on commercial contracts), the Uniform Commercial Cod! e, advertising and marketing, mergers and acquisitions, labor ! and employment, insurance, risk management, government affairs, and litigation. He or she will further help anticipate changes in the law that potentially will impact Terminix, and recommend and help implement proactive response strategies associated with such changes. He or she will provide relevant and timely advice to business unit personnel, the VP & Division General counsel â€" Terminix, and other Terminix Legal Group personnel.

Essential Job Functions

  • Provide regulatory advice and counsel
  • Prepare, revise, and negotiate contracts (with an emphasis on commercial contracts)
  • Perform relevant legal research
  • Examine and assess business practices and risk
  • Recommend and, as authorized, implement changes in practices
  • Interact with and support the following legal Department Centers of Excellence: Litigation (regarding litigation/claims matters), Mergers and Acquisitions (regarding acquisitions and internati! onal matters), Labor & Employment (regarding employment/union matters), Marketing (regarding advertising, marketing, and intellectual property matters), Ethics and Compliance (regarding compliance matters), Government Affairs (regarding government affairs matters), Risk Management (regarding claims, safety, and environmental matters).
  • Direct and manage approved and retained outside counsel
  • Advise and direct the efforts of Terminix Legal Group support personnel, including paralegals
  • Provide advice regarding Terminix franchise operations
  • Conduct both Legal Department and business unit training as needed
  • Occasional travel
  • Other duties as assigned
Knowledge, Skills, and Abilities

  • Develop and maintain expertise regarding contract drafting, reviewing, and negotiation, with particular emphasis on complex commercial contracts, especially on behalf of a service and product provider
  • Examine cr! itically business practices, ensure that they are aligned with requirem! ents of law, and provide advice regarding business practice risk
Understand, assist with the management of, and provide advice regarding, termite damage claims and related issues
  • Understand and provide advice regarding pest control issues, including licensing, training, and supervision
  • Competently review and revise proposed Terminix marketing materials and campaign initiatives regarding compliance with business capabilities, etc., and ensure that all necessary approvals are obtained (including on behalf of the Marketing legal Center of excellence) before using prepared materials in conjunction with such initiatives
  • Understand and provide legal, business-related, and business risk advice regarding various Terminix business programs, including, but not limited to termite control and damage repair, pest prevention and control, and insulation installation
  • Understand and, in conjunction with the all applicable Legal Department C! OEs, help manage and mitigate risk regarding Terminix safety, environmental, and claims issues
  • Be prepared to educate, and provide training regarding, any and all legal and business risk issues applicable to Terminix, to business unit personnel, Terminix Legal Group paralegals, and members of Legal Department COEs
  • Develop positive relationships with, and work cooperatively with, Terminix Legal Group personnel, business unit management and personnel, ServiceMaster BSC support personnel, and Legal Department COEs
  • Understand and be prepared to enforce non-competition agreements, both in the context of departing Terminix associates and acquired businesses
  • Understand and provide advice regarding issues associated with Terminix franchise operations
Assist with compliance training and help coordinate overall legal advice to Terminix, including advice provided by Legal Department COEs
  • Demonstrate the following traits: exce! llent oral and written communications skills, leadership ability, the a! bility to take direction and act accordingly, acute attention to detail, proficiency with computers, strong relationship building skills, effective time management skills, the ability to educate and persuade

Education and Experience Requirements

  • Juris Doctor degree or equivalent and member in good standing of a state bar and eligible for prompt admission to the Tennessee bar.
  • 8-12 or more years experience, at least 4 of which were in private practice, with preferably at least 2 as in-house counsel
