General Summary:
Performs a variety of legal functions in support of multiple departments within the company, as well as the Board of Directors.
Duties and Responsibilities:
- Assists in the preparation of various documents required under the federal securities laws and/or the NYSE, including Section 16 reports, Forms 10-K, 10-Q and 8-K, registration statements, proxy statements, annual shareholder reports, and NYSE notices, written affirmations and supplemental listing applications.
- Assists the Corporate Secretary in supporting the Board of Directors and its Committees, including agenda and meeting material preparation, meeting co! ordination, resolution drafting, minute-taking, governance bes! t practices research, monitoring and improving governance ratings, governance benchmarking, preparation and updating of corporate governance documents, and other corporate secretarial functions.
- Assists the Chief Compliance Officer in designing, implementing, overseeing, and evaluating the Corporate Compliance Program and in designing and conducting training in compliance areas such as the Code of Conduct, insider trading, Regulation FD, etc.
- Provides legal support for equity components of executive compensation.
- Strong knowledge and understanding of SEC laws/regulations and NYSE listing requirements
- Excellent analytical and legal writing skills
- Ability to analyze complex situations, and to deliver sound legal advice
- Excellent oral and written communication skills
- Strong collaborative skills for coordination with team members

Juris Doctorate degree from accredited law school (preferably top 20% of class); pass state bar exam. Five or more years of experience required with a law firm of significant reputation in the corporate/securities field. Additional years of experience as an in-house corporate/securities attorney preferred. At least two years of experience with NYSE listing requirements preferred.
