Location: Nashville, Tennessee

The Associate General Counsel will provide legal support for the University•! s diverse investment activities across multiple regulatory / compliance regimes (e.g. ERISA, UPMIFA, the Investment Company and Investment Advisers Acts, the Internal Revenue Code and Regulations) to assure effective, efficient, and compliant implementation of investment strategy.

  • The Associate General Counsel will also provide support for general corporate and health care matters.
  • The candidate must possess at least eight years of experience performing the professional work described above, with the ideal candidate possessing in excess of ten years of experience.
  • An understanding of the business complexities of an academic institution and an academic medical center is a plus.
  • The Associate General Counsel will be an active participant with key leaders in advising on strategic directions, as well as individual investments or activities.
  • Experience representing both sides of the bargaining table ( i.e. , the institutional! investor as well as the investment adviser or fund) in negoti! ating the legal terms of an investment is preferred.
  • Ability to read and interpret a fund•s offering memorandum, organizational documents ( e.g., partnership agreement or articles), subscription agreement, etc. is required.
  • We seek a creative problem-solver who will provide excellent legal advice in a highly ethical manner, and who will contribute to the positive working environment within the Office of General Counsel.
General Responsibilities:
  • Review/draft and negotiate legal agreements for:
--pooled investment vehicles ( e.g. , private equity, venture capital and hedge funds), separate accounts, and direct investments in public equities, private capital, fixed income, real estate, natural resources, and other asset classes;

--co-investments and secondary market purchases;

--derivative transactions, ISDA agreements, confirmations;

--prime brokerage and custody; and

--other pr! ofessional services.

  • Participate in various aspects of the investment decision-making process.
  • Advise on legal and regulatory aspects of Vanderbilt University activities.
  • Review and advise University on compliance and corporate documentation processes
  • Assist in developing and drafting necessary compliance policies and procedures.
  • Research and provide advice on tax-related issues.
  • Assist in drafting and reviewing contracts and other legal documents for compliance with state and federal laws as well as University policies, including as a liaison working directly with various contracting offices across the University.
  • Assist in drafting documents and advising the University on complex transactions.
  • Confer with Vanderbilt employees on matters involving legal interpretation and decisions related to operations and policy questions; engage in training activities, including corporate board training, an! d fraud, conflicts of interest, and abuse education.
  • Engage an! d manage outside counsel to represent Vanderbilt University.
  • Staff key working groups and committees in areas of practice as assigned, including attendance at board meetings and other related activities, as a legal advisor.
  • Provide guidance and assistance to other colleagues in the Office of General Counsel in a highly collaborative fashion.
  • Perform other related duties incidental to the duties described herein.
Basic Qualifications

  • JD degree.
  • Employment contingent upon State of Tennessee licensure or registration and receipt of In-House Counsel
Practice Certificate.
  • The successful candidate must also apply for and become licensed in the State of Tennessee within 12 months of employment.
  • Must have at least eight years of experience as an attorney in relevant legal areas of securities and investment management law, with a preference for more than ten years of experience.
